These Terms & Conditions ("Terms") govern your access to and use of the X-Unframed Software as a Service platform and associated website (collectively, the "Service"), provided by X-Unframed, operated by UNFRAMED LTD (Company No. 17379534), a company incorporated in England and Wales with its registered office at 66 Paul Street, London, EC2A 4NA ("X-Unframed," "we," "us," or "our").

The Service is operated by UNFRAMED LTD, a company incorporated in England and Wales. For customers in the Gulf, the Service is provided by X Unframed Establishment (Commercial Registration No. 7049407336), 4925 Bakr Kamal Street, 8444 Al Narjis District, Riyadh 13333, Kingdom of Saudi Arabia. By accessing or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms, which constitute a legally binding agreement between you and whichever of those entities contracts with you.

1. Interpretation and Definitions

1.1. Interpretation: The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

1.2. Definitions: For the purposes of these Terms, the following key terms are defined:

Account: means a unique account created for you to access our Service or parts of our Service.

Affiliate: means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.

Smart Services: refers to any features or functionalities within the Service that utilize artificial intelligence, machine learning, or similar computational techniques to process data, generate content, or provide insights, such as candidate sourcing, screening, matching, resume analysis, and job description generation.

Content: refers to text, images, videos, audio, or other information that can be posted, uploaded, linked to, or otherwise made available by you or other users on the Service, or generated by the Service.

Credits: means the units purchased by the Customer to access specific features or perform certain actions within the Service, beyond the basic subscription.

Customer Data: means all data, information, or content, including but not limited to job descriptions, candidate resumes, communication records, and performance metrics, uploaded, submitted, or otherwise provided by you or on your behalf to the Service.

Device: means any device that can access the Service such as a computer, a mobile phone, or a digital tablet.

Feedback: means feedback, innovations, or suggestions sent by you regarding the attributes, performance, or features of our Service.

Privacy Policy: means our Privacy Policy, which details our policies and procedures on the collection, use, and disclosure of your Personal Data when you use the Service.

Personal Data: means any information relating to an identified or identifiable natural person.

Service: refers to the X-Unframed SaaS platform and associated website (https://v2.x-unframed.com/), including all features, functionalities, and Smart Services offered therein.

Subscription: refers to the access to the Service offered on a recurring subscription basis by X-Unframed to you.

Terms: means these Terms & Conditions that form the entire agreement between you and X-Unframed regarding the use of the Service.

Third-Party Service: means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.

You: means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

2. Acknowledgment and Acceptance

2.1. Agreement to Terms: Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

2.2. Eligibility: By using the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United Kingdom or the Kingdom of Saudi Arabia, or other applicable jurisdiction.

2.3. Privacy Policy: Your access to and use of the Service is also conditioned upon your acceptance of and compliance with X-Unframed's Privacy Policy. Our Privacy Policy describes our policies and procedures on the collection, use, and disclosure of your Personal Data when you use the Application or the Website and tells you about your privacy rights and how the law protects you.

3. Description of Service

X-Unframed is a business-to-business (B2B) Software as a Service platform designed to assist companies in their talent acquisition processes. Our Service enables you to create job descriptions, post them, and source talent using a combination of traditional and intelligent tools.

Smart Services: The Smart Services may include, but are not limited to, candidate sourcing, screening, matching, resume analysis, and automated communication functionalities.

4. Access and Accounts

4.1. Account Creation: You must create an Account to use the Service. When you create an Account, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your Account on our Service.

4.2. Account Security: You are responsible for safeguarding the password and other credentials that you use to access the Service and for any activities or actions under your Account, whether your password is with our Service or a Third-Party Service.

4.3. Prohibited Usernames: You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

5. Subscription and Credits

5.1. Subscription Plans: The Service, or certain parts of the Service, are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.

5.2. Credits: In addition to the Subscription, certain advanced features or activities within the Service may require Credits. Credits are purchased separately as one-time packages and can be replenished at any time.

5.3. Pricing and Payments: Subscription fees and Credit costs are detailed on our pricing page, which is incorporated into these Terms by reference. Payments are due in advance for Subscriptions. Credits are debited upon use of the associated feature or activity. All payments are non-refundable, except as explicitly stated in these Terms or required by applicable law.

5.4. Automatic Renewal: At the end of each Subscription period, your Subscription will automatically renew under the exact same conditions unless you cancel it or X-Unframed cancels it.

5.5. Subscription Cancellations: You may cancel your Subscription renewal at any time through your Account settings page or by contacting X-Unframed. You will not receive a refund for the fees you have already paid for your current Subscription period, and you will be able to access the Service until the end of your current Subscription period. Unused Credits typically expire upon termination of your Subscription, unless otherwise agreed in writing.

5.6. Billing Information: You shall provide X-Unframed with accurate and complete billing information including full name, address, state, postal code, telephone number, and valid payment method information. Should automatic billing fail for any reason, X-Unframed will issue an electronic invoice indicating that you must pay manually within the deadline, with the full payment corresponding to the billing period as indicated on the invoice.

5.7. Fee Changes: X-Unframed reserves the right, in its sole discretion and at any time, to modify the Subscription fees and Credit costs. Any such change will become effective at the end of the then-current Subscription period. X-Unframed will provide you with reasonable prior notice of any change in fees to give you an opportunity to terminate your Subscription before such change becomes effective.

5.8. Refunds: Except when required by law, paid Subscription fees and purchased Credits are non-refundable. Certain refund requests for Subscriptions or Credits may be considered by X-Unframed on a case-by-case basis and granted at the sole discretion of X-Unframed.

5.9. Promotions and Free Trials: Any Promotions or Free Trials made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions or Free Trials, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion or Free Trial conflict with these Terms, the Promotion or Free Trial rules will apply. X-Unframed reserves the right to modify or cancel any Free Trial offer at any time without notice.

6. Use of the Service and Prohibited Conduct

6.1. Lawful Use: You agree to use the Service only for lawful business purposes and in accordance with these Terms, and all applicable laws and regulations in the United Kingdom, the Kingdom of Saudi Arabia, and any other jurisdiction from which you access or use the Service.

6.2. Prohibited Content and Activities: You agree not to use the Service to:

• — Post illegal, harmful, threatening, abusive, defamatory, discriminatory, or obscene content
• — Infringe on intellectual property rights, privacy rights, or other rights of others
• — Engage in activities that disrupt or interfere with the Service
• — Attempt to gain unauthorized access to the Service or user accounts
• — Transmit viruses, malware, or other harmful content
• — Impersonate any person or entity, including X-Unframed
• — Use the Service to send unsolicited advertising or spam
• — Use the Service to develop or provide competitive services

6.3. Content Monitoring

X-Unframed reserves the right, but not the obligation, to, in its sole discretion, determine whether any Content is appropriate and complies with these Terms, and to refuse or remove such Content. X-Unframed further reserves the right to make formatting and edits and change the manner of any Content. X-Unframed can also limit or revoke your use of the Service if you post objectionable Content.

As X-Unframed cannot control all Content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. You understand that by using the Service you may be exposed to Content that you may find offensive, indecent, incorrect, or objectionable, and you agree that under no circumstances will X-Unframed be liable in any way for any Content, including any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content.

7. Intellectual Property Rights

7.1. Service Intellectual Property: X-Unframed and its licensors own all rights, title, and interest in and to the Service, including all associated software, intelligent algorithms, methodologies, documentation, trademarks, trade dress, and other intellectual property rights.

7.4. Feedback

You assign all rights in any Feedback you provide to X-Unframed.

8. Data Protection and Privacy

8.1. Compliance: X-Unframed processes Personal Data in accordance with its Privacy Policy. You are responsible for ensuring that your use of the Service, including the collection, processing, and transfer of Personal Data, complies with all applicable data protection and privacy laws in your jurisdiction, including the UK General Data Protection Regulation (UK GDPR), the EU General Data Protection Regulation (EU GDPR), and the Personal Data Protection Law of the Kingdom of Saudi Arabia (Saudi PDPL), as well as any other relevant local regulations.

9. Confidentiality

Both parties agree to protect the confidential information of the other party with the same degree of care that they protect their own confidential information of a similar nature, but in no event less than reasonable care.

Definition of Confidential Information: Confidential information includes all non-public information disclosed by one party to the other in connection with these Terms, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

This obligation of confidentiality shall survive the termination of these Terms.

10. Third-Party Services and Links

Our Service may contain links to Third-Party Services that are not owned or controlled by X-Unframed. X-Unframed has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third-Party Services.

Important Notice: You further acknowledge and agree that X-Unframed shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such Third-Party Services.

We strongly advise you to read the terms and conditions and privacy policies of any Third-Party Services that you visit.

11. Disclaimer of Warranties

11.1. "AS IS" and "AS AVAILABLE" Basis: The Service is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, X-Unframed expressly disclaims all warranties, whether express, implied, statutory, or otherwise.

11.2. No Guarantees: X-Unframed provides no warranty or undertaking, and makes no representation of any kind that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free.

11.3. No Representation on Accuracy: Neither X-Unframed nor any of its providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or Content provided through the Service; or (iv) that the Service, its servers, the Content, or e-mails sent from or on behalf of X-Unframed are free of viruses, scripts, Trojan horses, worms, malware, timebombs, or other harmful components.

11.4. Limitations: Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you. But in such a case, the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

12. Limitation of Liability

12.1. General Limitation: To the maximum extent permitted by applicable law, in no event shall X-Unframed or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service).

12.2. Aggregate Liability Cap: The entire liability of X-Unframed under any provision of these Terms shall be limited to the amount actually paid by you through the Service in the six (6) months preceding the claim, or 100 USD (or equivalent in GBP/SAR) if you have not purchased anything through the Service.

12.3. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In such jurisdictions, each party's liability will be limited to the greatest extent permitted by law.

12.4. Exclusions from Limitation: Nothing in these Terms shall limit or exclude X-Unframed's liability for: Death or personal injury caused by our negligence; Fraud or fraudulent misrepresentation; Any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless X-Unframed, its Affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from:

• — Your use of and access to the Service, including any Customer Data or Content transmitted or received by you
• — Your breach or violation of these Terms
• — Your violation of any Third-Party Service terms or any third-party right, including without limitation any right of privacy, data protection, or intellectual property rights
• — Your violation of any applicable law, rule, or regulation in the United Kingdom, the Kingdom of Saudi Arabia, or any other relevant jurisdiction
• — Any claim that your Customer Data or Content caused damage to a third party

14. Term and Termination

14.1. Commencement and Duration: These Terms commence when you first use the Service and continue until terminated in accordance with this Section.

14.2. Termination by X-Unframed: We may terminate or suspend your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions, or if your Account remains inactive for a prolonged period.

14.3. Termination by You: You may terminate your Subscription at any time through your Account settings or by contacting us. Your right to use the Service will cease at the end of your current Subscription period.

14.4. Effects of Termination: Upon termination, your right to use the Service ceases immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. X-Unframed will delete or return Customer Data in accordance with its Privacy Policy and data retention obligations.

16. General Provisions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Assignment and Transfer

The Company may assign, transfer, novate, or otherwise transfer its rights and obligations under these Terms, in whole or in part, to any affiliated entity, successor entity, or entity resulting from a corporate restructuring, merger, reorganisation, or change of jurisdiction, without prior notice to or consent from you.

Such assignment or transfer shall not affect the rights and obligations you have under these Terms, which shall continue to be enforceable against the assignee or successor entity in the same manner as against the Company.

In the event of any such assignment, transfer, or change of jurisdiction, any Personal Data held by the Company shall be handled in accordance with applicable data protection laws and the provisions of our Privacy Policy.

Your Rights: You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be void.

Billing Entity and Payment Processing

The Company reserves the right to change the billing entity, invoicing entity, and/or payment processor used to provide the Services at any time, without prior notice or consent, provided that such change does not materially affect the terms of your subscription or payment obligations.

Such changes may include, but are not limited to, the use of a different legal entity within the Company's group of companies to issue invoices and collect payments, or the engagement of a different third-party payment processor.

Any change in billing entity shall not alter the amount, currency, or frequency of your payments, unless otherwise agreed upon or required by applicable law.

Notice: Where practicable, we will provide you with reasonable notice of any material changes to our billing arrangements. Your continued use of the Service following any such change constitutes your acceptance of the new billing entity or payment processor.
